Maestro Terms of Service

Effective date: October 8, 2026

The short version

  • Maestro gives you information, not advice. Scores, benchmarks, scenarios, and AI answers can be wrong. Check them before you act, and talk to a qualified professional about money, tax, or legal decisions.
  • Your business data stays yours. You give us permission to use it only to run Maestro for you. We don't sell it.
  • Connecting QuickBooks is optional and read-only. You can disconnect at any time.
  • Maestro is in beta and provided "as is". Our liability is limited.
  • You can stop using Maestro and delete your account whenever you like.

1. Who we are and what these terms cover

These Terms of Service ("Terms") are a contract between you and Adderley.co ("we", "us", "our"). They cover the Maestro web app at https://maestro-two-nu.vercel.app and any related sites, emails, and features (together, "Maestro" or the "Service").

You accept these Terms when you create an account, click to continue at signup, or use Maestro. Our Privacy Policy explains how we handle your data and is part of these Terms.

If you use Maestro for a business, you confirm you have authority to accept these Terms for it. "You" then means you and that business.

2. Who can use Maestro

  • You must be at least 18 and able to form a binding contract.
  • Maestro is for business owners and their authorized team members. It is not for personal or household finance.
  • You may not use Maestro if the law forbids it, for example if you are on a U.S. sanctions list or in an embargoed country.

3. What Maestro does

Maestro helps you understand your business's financial health. You can:

  • enter business details and metrics, such as revenue, expenses, cash balance, gross margin, average monthly cash flow, and employee and customer NPS (eNPS/cNPS);
  • view a Business Health Score built from five weighted pillars: runway, operational efficiency, financial performance, eNPS, and cNPS;
  • compare your results with industry benchmarks and run what-if scenarios;
  • ask questions in Ask Maestro and get AI-generated insights and recommendations;
  • optionally connect QuickBooks Online to sync metrics; and
  • receive a weekly brief, in-app notifications, and an optional weekly email digest, and save insights, scenarios, and your question history.

Read this section carefully.

  • Maestro is an informational and educational tool. Nothing in Maestro is financial, accounting, tax, legal, investment, lending, or other professional advice. No fiduciary, advisor-client, or other professional relationship exists between you and us.
  • Scores and benchmarks are estimates. The Business Health Score uses a fixed weighting model and the data you or QuickBooks provide. Benchmarks are general industry reference points. Neither one is a credit score, valuation, audit, or certification. Neither is an assessment of whether you qualify for credit, insurance, or investment, and neither should be used as one.
  • Scenarios are hypothetical. What-if results show the outcome of the assumptions you enter. They don't predict the future.
  • AI-generated output may be wrong. Ask Maestro uses third-party large language models. Its answers can be inaccurate, incomplete, outdated, or not suited to your situation, even when they sound confident. The case studies that inform its answers describe other businesses and may not apply to yours.
  • Garbage in, garbage out. Results are only as good as the data behind them. We don't audit or verify your data.
  • You decide. Check important information yourself. Talk to a qualified accountant, attorney, financial advisor, or tax professional before you make decisions. You are solely responsible for decisions you make or actions you take based on Maestro.

5. Your account

  • Give accurate signup information and keep it up to date.
  • Keep your password confidential, and use a strong password that you don't use anywhere else. You are responsible for activity under your account.
  • Tell us right away at adrian@adderley.co if you suspect unauthorized access.
  • Only enter data you have the right to share. That includes data about your business, employees, and customers. Don't enter more personal information about other people than Maestro needs. Maestro only needs aggregate scores such as eNPS and cNPS, not individual survey responses.

6. Acceptable use

Don't use Maestro, or help anyone else use it, to:

  • break any law or anyone else's rights;
  • enter data you have no right to use, or enter sensitive personal information that Maestro doesn't ask for (for example Social Security numbers, bank account numbers, card numbers, or health information);
  • access another person's account or data, or try to get around security, authentication, or usage limits;
  • probe, scan, or test vulnerabilities without our written permission;
  • scrape, crawl, or extract data from Maestro by automated means, or overload our systems;
  • reverse engineer, decompile, or copy Maestro, except where the law allows it despite this restriction;
  • build a competing product, or use Maestro's output, scores, or methods to train AI models;
  • try to make Ask Maestro produce harmful, unlawful, or deceptive content, get around its safeguards, or break the usage policies of our AI providers;
  • upload malware or interfere with the Service; or
  • resell, sublicense, or provide Maestro to others as a service without our written agreement.

We may investigate breaches. We may also remove content, or suspend or end accounts, to protect users, the Service, or third parties.

7. Your data and the license you give us

  • You own your data. Your data means the information you enter, data synced from QuickBooks, your questions, and the scores, scenarios, and insights produced for your account. As between you and us, you keep all rights in it.
  • The limited license you give us. You let us host, store, copy, process, transmit, and display your data only as needed to provide, secure, support, and maintain Maestro for you, to follow the law, and as our Privacy Policy describes. This includes sending relevant data to our service providers, such as our hosting provider and AI providers, so they can perform services for us.
  • What we don't do: we don't sell your data, use it for advertising, or let our AI providers train their models on it under the API terms we use. We don't use QuickBooks data for any purpose other than serving you.
  • De-identified usage information. We may use aggregated, de-identified information about how Maestro is used, such as feature usage counts and error rates, to run and improve the Service. That information doesn't identify you or your business and doesn't include QuickBooks data.
  • AI output. As between you and us, you may use the output Ask Maestro generates for you. Similar questions from other users may produce similar output.

8. Our property

Maestro is our property or our licensors' property. That includes the software, design, scoring model and weightings, benchmark data, the case study library, and our brand. These Terms give you a personal, limited, non-exclusive, non-transferable, revocable right to use Maestro for your internal business purposes while your account is in good standing. You get no other rights.

If you send us feedback or suggestions, we may use them without owing you anything.

9. Third-party services

Maestro relies on, and links to, services we don't control.

QuickBooks Online (Intuit).

  • Connecting QuickBooks is optional. You authorize it through Intuit's own sign-in (OAuth). We never see your Intuit password.
  • Maestro asks for read access to accounting data, such as revenue, expenses, and cash, so it can sync your metrics. It doesn't change data in your QuickBooks company.
  • We use QuickBooks data only to provide Maestro to you. We don't sell it, show it to other users, or use it to train AI models.
  • You can disconnect at any time in Maestro or in your Intuit account's connected-apps settings. Section 12 and the Privacy Policy explain what happens to your data when you do.
  • Your use of QuickBooks is governed by Intuit's terms and privacy statement. Intuit does not sponsor or endorse Maestro and is not responsible for it. QuickBooks and Intuit are trademarks of Intuit Inc.

AI providers. Ask Maestro sends your question and relevant company facts to a third-party large language model provider, currently OpenAI and possibly xAI in the future, to generate answers. Their availability and output quality are outside our control.

Other providers. We use hosting (Vercel), database and authentication (Supabase), and email services. Third-party services may change, have outages, or stop working with Maestro. We are not responsible for third-party services or their content. Your use of them may be subject to their own terms.

10. Beta and availability

  • Maestro is in beta. Features may change, break, or be removed. Data may sync late or incompletely.
  • We don't promise that Maestro will be available, uninterrupted, error-free, or secure at all times, or that it will keep any particular feature.
  • Keep your own records. Maestro is not a system of record, and your accounting software and books remain the authoritative source.
  • We may change, suspend, or discontinue all or part of Maestro. If we discontinue the whole Service, we will try to give reasonable notice so you can export your data.

11. Emails and notifications

We send service emails that you can't opt out of while you have an account, such as account verification, password resets, security alerts, and important changes. The weekly email digest is optional, and you can turn it off in settings or with the unsubscribe link.

12. Ending your account and deleting data

  • You can stop using Maestro at any time and ask us to delete your account in the app or by emailing adrian@adderley.co.
  • We may suspend or end your access if you breach these Terms, if your use creates risk or legal exposure for us, others, or our providers, including Intuit, if the law requires it, or if we discontinue the Service. Where reasonable, we will tell you first.
  • What happens to your data: after your account is deleted, we delete or de-identify your data from our active systems within 30 days. Backup copies are overwritten on a rolling schedule. Some records may be kept longer where the law requires it or where we need them to resolve disputes or enforce these Terms. The Privacy Policy has details.
  • QuickBooks disconnect: when you disconnect QuickBooks, or your account is deleted, we stop syncing and delete your QuickBooks access tokens. Intuit-sourced data is handled as the Privacy Policy describes.
  • Export: before you delete your account, you can ask for a copy of your data at adrian@adderley.co.
  • These sections continue after termination: 4, 7 (our rights to keep data as described), 8, and 13 through 19.

13. Disclaimers

TO THE FULLEST EXTENT THE LAW ALLOWS, MAESTRO, INCLUDING ALL SCORES, BENCHMARKS, SCENARIOS, AND AI-GENERATED OUTPUT, IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. THIS INCLUDES ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT. WE DON'T WARRANT THAT ANY OUTPUT IS ACCURATE, COMPLETE, OR RELIABLE, OR THAT USING MAESTRO WILL PRODUCE ANY PARTICULAR BUSINESS RESULT.

Some places don't allow certain disclaimers, so some of the above may not apply to you.

14. Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS:

  • WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITIES. THIS INCLUDES LOSSES FROM DECISIONS BASED ON SCORES, BENCHMARKS, SCENARIOS, OR AI OUTPUT, EVEN IF WE WERE TOLD SUCH DAMAGES WERE POSSIBLE.
  • OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO MAESTRO OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US FOR MAESTRO IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US$100.

These limits apply to every theory of liability and still apply if a remedy fails of its essential purpose. They don't limit liability that the law doesn't allow to be limited, such as liability for fraud, gross negligence, or willful misconduct where those exclusions apply.

15. Indemnity

You will defend, indemnify, and hold harmless Adderley.co and its owners, officers, employees, and agents against third-party claims, and the related losses, damages, and reasonable legal fees, that arise from: (a) your breach of these Terms; (b) data you enter or connect without the right to do so; (c) your violation of law or of a third party's rights; or (d) decisions you make or actions you take using Maestro. We will notify you of the claim and may take part in the defense with our own counsel at our own cost.

16. Governing law and venue

These Terms are governed by the laws of the State of Delaware and applicable U.S. federal law, without regard to conflict-of-law rules. You and we agree to the exclusive jurisdiction of the state and federal courts in New Castle County, Delaware. Either party may bring an eligible claim in small claims court.

17. Changes to these Terms

We may update these Terms. If a change is material, we will tell you by email or in the app at least 15 days before it takes effect, unless the change is legally required or fixes a security issue. In those cases it may take effect sooner. If you keep using Maestro after the effective date, you accept the updated Terms. If you don't agree, stop using Maestro and delete your account. The "Effective date" above shows the latest version.

18. General

  • Entire agreement. These Terms and the Privacy Policy are the whole agreement between you and us about Maestro.
  • Assignment. You may not transfer these Terms without our consent. We may transfer them in connection with a merger, acquisition, or sale of assets, or to an affiliate.
  • Severability and waiver. If a provision is unenforceable, the rest stays in effect. Not enforcing a provision doesn't waive it.
  • Force majeure. We aren't liable for delays or failures caused by events beyond our reasonable control, including outages at our providers.
  • Export and sanctions. You will follow U.S. export control and sanctions laws.
  • Notices. We may send you notices by email or in the app. Send notices to us at the contact details below.
  • No third-party beneficiaries, except as stated in Section 15.
